Description of Service
The "Service" includes (a) the Site, (b) the data tracking service and tools provided by SEOAnalytix.com (c) any other services provided to You through the Site (d) all software, data, text, images, sounds, video, and content made available through the Site or service (collectively referred to as the "Content"). Any new features added to or augmenting the Service are also subject to this TOS.
The Service may also include different levels of support provided by SEOAnalytix.com. SEOAnalytix.com strives to provide the appropriate type and level of Service with the highest level of availability, with the exception of: (a) planned downtime, or (b) any unavailability caused by circumstances beyond Our reasonable control, such as, but not limited to, acts of God, acts of government, acts of terror or civil unrest, or technical failures beyond Our control.

General Conditions / Access and Use of the Service
3.1. Subject to the terms and conditions of this TOS, You may access and use the Service only for Your internal business purposes as contemplated by the Agreement. You shall not (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Service available to any third party, other than as expressly permitted by this TOS; (b) use the Service to process data on behalf of any third party, or (c) use the Service in any unlawful manner or in any manner that interferes with or disrupts the integrity or performance of the Service and its components.
3.2. Subject only to the limited right to access and use the Service expressly granted to You under this TOS, all rights, title and interest in and to the Service and its components will remain with and belong exclusively to SEOAnalytix.com. You shall not hack, modify, or adapt the Service to falsely imply any relationship, association or sponsorship with SEOAnalytix.com. You shall not attempt to gain unauthorized access to the Service, its related systems, or networks.
3.3. You are responsible for all information, data, text, messages or other materials that You post or otherwise transmit via the Service. You are responsible for maintaining the confidentiality of Your login and account and are fully responsible for any and all activities that occur under Your login or account. You acknowledge and agree that Your login may only be used by one (1) person - a single login shared by multiple people is not permitted. You may create separate logins for as many people as Your plan allows.
3.4. SEOAnalytix.com reserves the right to access any or all Your accounts in order to respond to Your technical support requests. We shall maintain appropriate administrative, physical and technical safeguards for the protection of the security, confidentiality, and integrity of Your data. We will not disclose Your data except if compelled by law or if permitted by You.
3.5. You understand that the technical processing and transmission of the Service, including Your content, may be transferred unencrypted and involve (a) transmissions over various networks; (b) changes to conform and adapt to technical requirements of connecting networks or devices and (c) transmission to SEOAnalytix.com's third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to operate and maintain the Service. SEOAnalytix.com will use reasonable efforts to publish on the site or notify You of any planned downtime of the Service.
3.6. The failure of SEOAnalytix.com to exercise or enforce any right or provision of this TOS shall not be a waiver of that right. You acknowledge that this TOS is a contract between You and SEOAnalytix.com, even though it is electronic and is not physically signed by You and SEOAnalytix.com, and it governs Your use of the Service and takes the place of any prior agreements between You and SEOAnalytix.com.
3.7. You shall use all reasonable effort to bring all of your support tickets to a "Closed" state as quickly as possible.
3.8. You agree to comply with all applicable laws regarding obscene and indecent content. Such content is expressly forbidden and is a cause for the cancellation of your account without notice or refund.
3.9. SEO Analytix is not to be used with websites associated with illegal activities or that brings harm to people.
3.10. The service is only provided to users with a valid email address, who intend to use the services for genuine purposes.
3.11. Non-human (bots etc) are explicitly forbidden from using the services.

Trademarks, Copyrights, and Proprietary Rights
SEOAnalytix.com's various logos used or displayed on the Site or Service are trademarks of SEOAnalytix.com and you may only use these trademarks or logos for promotional purposes to identify yourself as a customer or user of the SEOAnalytix.com products and services, provided You do not attempt to exploit or claim ownership of the marks by incorporating any of them within Your names or offerings.
The terms SEO Analytix, SEOAnalytix, and SEOAnalytix.com and anything on the site that identifies or distinguishes SEOAnalytix.com from other products and services are registered or unregistered trademarks of SEOAnalytix.com. You agree not to display or use such terms and trademarks in any manner without prior written consent.
SEOAnalytix.com owns the visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, and all other elements and components of the Site.
SEOAnalytix.com owns the copyrights, trademarks, service marks, trade names and other intellectual property and proprietary rights throughout the world associated with the SEOAnalytix.com Content, the Site and Service, which are protected by applicable intellectual and proprietary rights and laws.
Users may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the SEOAnalytix.com Content in whole or in part except as expressly authorized in writing by SEOAnalytix.com. All rights are retained and reserved by SEOAnalytix.com.
The names and logos of companies and products not owned by SEOAnalytix.com may be the trademarks of their respective owners.

Plans
SEOAnalytix.com offers different plans with each plan associated with different features and restrictions. Plans may be modified and changed without notice.
Free Plan is also offered. Accounts may automaticlly be associated with the "Free Plan" plan at the end of a trial period if payment was not paid on time. SEOAnalytix.com reserves the right, at its sole discretion, to modify, replace, or cancel without notice any or all accounts associated with the Free Plan plan.

Payment and Refunds
6.1. Trials, Payments, and renewals
The Service is available on a pay-as-you-go basis and payment is required at the start of Your plan period. If Your payment details have not been provided by the end of any trial period, Your account may be suspended or deleted.
You are responsible to ensure that payment details are valid and up to date. If SEOAnalytix.com cannot process Your payment, Your account may be suspended or deleted and you may lose access to the Service and any data associated with Your account.
Once payment details have been provided, a payment is made by the end of any trial period and Your subscription will thereafter be renewed automatically by the next payment due date.
You are responsible for taking action prior to renewal if you do not want your subscription to renew automatically. You might not receive notice of your renewal.
If more than one trial account (an account using the free trial period) is created by a user (described as a registered user associated with an IP address), SEOAnalytix.com retains the right to cancel all accounts associated with the user (or with the IP address) and ban any future use of The Service.
6.2. Billing, Plan and Price Changes
If You upgrade Your plan during the plan period, any price difference will be prorated over the remaining term of the plan period and charged to Your account immediately (at the time of the plan upgrade).
If You downgrade Your plan during the plan period, the new plan period will be extended to adjust for the price difference.
Downgrading Your plan may cause the loss of content, features, or capacity of Your account and SEOAnalytix.com does not accept any liability for such loss.
SEOAnalytix.com reserves the right to contact You about special pricing if You create an exceptionally high number of support tickets, or place other excessive stress on the Service.
Plan prices are subject to change without notice. A notice may be provided at any time.
6.3. Credit Card Billing and Privacy.
SEOAnalytix.com uses a third-party intermediary to process payments and manage credit cards. The intermediary is not permitted to store, retain, or use Your billing details except to process Your payments for SEOAnalytix.com. Please visit our privacy policy to understand how SEOAnalytix.com uses personal information.
6.4. Refund policy
In general, we do not refund for deleted accounts. If you choose to delete your account during your subscription term, you will not be refunded in whole or in part. For example, if you have a monthly plan and you request a refund before the end of the plan period, there will be no refunds. No refunds are given for any other charges. No exceptions will be made in order to treat everyone equally and keep Our administrative costs low for the ultimate benefit of Our customer base.
If you choose to downgrade your membership level during your subscription term, you may be entitled to a pay a lower, pro-rated amount at renewal, but you are not entitled to a cash refund at any time.
In case of Acceptable Use Policy (AUP) violations or any violation of this agreement, any and all refunds are forfeited.

Cancellation and Termination
7.1. You are responsible for the proper cancellation of Your account. The account owner (as defined in the sign-up procedure) can cancel the account at any time via the Delete Account option in the Account Settings section. There are no other means of cancelling Your account. You will lose access to all of Your content upon cancellation and we will delete it in our normal course of business operations. This information cannot be recovered once your account is cancelled. If You cancel the Service before the end of Your current paid-up subscription period, your cancellation will take effect immediately and You will not be charged again, and any and all refunds are forfeited.
7.2. SEOAnalytix.com reserves the right to (i) modify or discontinue, temporarily or permanently, the Service (or any part thereof) and (ii) refuse any and all current and future use of the Service, suspend or terminate your account (any part thereof) or use of the Service (any part thereof) and remove and discard any of Your content in the Service, for any reason and at our sole discretion, including, if SEOAnalytix believes that You have violated or failed to comply with any terms or conditions of these TOS. SEOAnalytix will use all reasonable efforts to contact You directly via email to warn You prior to suspension or termination of Your account. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of Your use of Service, may be referred to appropriate law enforcement authorities. SEOAnalytix shall not be liable to You or any third party for any modification, suspension or discontinuation of the Service.
7.3. We reserve the right to remove any account, without advance notice for any reason without restitution, as SEOAnalytix sees fit.

Disclaimer of Warranties
The Service, including the Site and content, and all server and network components are provided on an "as is" and "as available" basis without any warranties of any kind, to the fullest extent permitted by law and SEOAnalytix expressly disclaims any and all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. You acknowledge that SEOAnalytix.com does not warrant that the service will be uninterrupted, timely, secure, error-free or virus-free and no information or advice obtained by you from SEOAnalytix.com or through the service shall create any warranty not expressly stated in this TOS.
SEOAnalytix.com holds no responsibility for the use of our clients' accounts.

Limitation of Liability
9.1. under no circumstances and under no legal theory (whether in contract, tort, or otherwise) shall SEOAnalytix.com be liable to you or any third party for any indirect, incidental, special, exemplary, consequential or punitive damages, including lost profits, lost sales or business, lost data or business interruption. In addition, SEOAnalytix.com shall not be liable for any direct damages, costs, losses or liabilities in excess of the monthly service fee paid or payable by you for the one month preceding the time of any claim for monetary damages. The provisions of this section allocate the risks under the Agreement between the parties, and the parties have relied on these limitations in determining whether to enter into this agreement.

Assignment
SEOAnalytix.com may assign or transfer this TOS, in whole or in part, without restriction.

Export Compliance
You are responsible for complying with any applicable laws, rules, or regulations governing the export of the Service or any of its components.

Electronic Form
By accessing the Site or Service, you consent to have this Agreement provided to you in electronic form. You may print a copy of this Agreement for your records.

User Indemnification of SEOAnalytix.com for Certain Actions
Users agree to indemnify and hold SEOAnalytix.com and its owners, affiliates, officers, agents, subsidiaries, partners and employees harmless from any loss, liability, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (i) User Generated Content you submit, post, transmit, or make available through the Service, (ii) your unauthorized use of the Site or Service, (iii) your connection to the Service, including your use of the Service to provide a link to another site or to upload content or other information to the Site, or (iv) your violation of the TOS, or (v) your violation of any rights of another including but not limited to another's copyright or other intellectual property right.

Governing Law
These TOS shall be governed by the laws of Australia without regard to the principles of conflicts of law. You hereby expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts of Australia for the purpose of resolving any dispute relating to Your access to or use of the Service.
